A Journey Through Bureaucratic Chaos!
Starting a company feels like solving a bureaucratic puzzle—just when you think you’re done, there’s always one more missing piece.
We always knew that starting a company wasn’t just about having a great idea, a solid plan, and a team ready to go. What we didn’t know was how deep the rabbit hole of bureaucracy would go.
At the beginning, we were just lost. Completely.
We needed to register the company, draft a shareholders’ agreement, and understand how all the legal documentation worked. Easy, right? Well, we quickly realized that every step required us to think about the worst possible scenario. What happens if a founder leaves? If we need to bring in an investor? If something goes wrong? At this stage, we weren’t just building a company—we were drafting a survival guide for worst-case scenarios we hoped would never happen: conflicts between us, disengagement, or even what happens if one of us is no longer around!
Once we had all the paperwork ready, we scheduled our visit to the notary. The place felt like a high-level, serious environment, where important people made important decisions. And then… in five minutes, it was done. That was it. We walked in, signed some papers, and just like that, CIMit Software officially existed.In my next life, I’m definitely coming back as a notary—the only profession where you make top money in record time. Five minutes, a few signatures, and boom… next!
But wait….
The Company Exists… But Can’t Operate
You’d think that once the company is registered, you’re ready to do business. Well, no. Because that’s when we discovered a whole new world of missing documents, procedures, and requirements that no one had told us about.
Want to open a business bank account? Sure, just bring your official registration documents. Oh, wait—those take weeks to arrive, because the “Registro Mercantil” operates on its own timeline… let’s just say efficiency isn’t its strongest trait in the bureaucratic world. Until then, you have no account, which means:
No payments, so can’t buy any tool for email, domain, hosting…
No way to buy tables, chairs, computers, or rent an office.
No salaries. Maybe it’s not the most critical thing… but funny enough, our employees seem to really appreciate getting paid!
Alright, but we need to get our definitive NIF (tax ID) to move forward. Simple, right? Well, to get it, we need a digital certificate for the company. And to get a digital certificate, we need… the definitive NIF.
See the problem?
And then there’s Modelo 036. Do you have it? No? Well, then you can’t move forward. But wait, you didn’t know you needed it in the first place? That’s too bad—come back when you do.
Surviving the Maze
This entire process felt like a never-ending puzzle, where every piece depended on another missing piece. Every step required extra steps that we didn’t know existed. And yet, somehow, slowly, we managed to untangle it.
Looking back, we laugh about it now, but at the time, it was a frustrating, exhausting experience. Starting a company isn’t just about having a good business plan—it’s about surviving the paperwork jungle without losing your mind.
If you’re about to start your own business, brace yourself. You’ll get through it, but don’t expect it to be smooth. Bureaucracy will test your patience. And when you think you’re done, there will always be one more form to fill out!
But in the end, despite all the chaos, it’s worth it. Now, we’re more motivated than ever to do what we love—and nothing (not even more paperwork) is going to stop us! 😉
